Please read these Terms of Service carefully before using Stack-Ops. These terms govern your use of our platform and website. By using Stack-Ops, you agree to these terms. If you have any questions, contact us at legal@stack-ops.io.

1. Acceptance of Terms

By accessing or using the Stack-Ops platform and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (or your organization) and Stack-Ops Inc. ("Stack-Ops," "we," "us," or "our"). We may update these Terms from time to time; we will notify you of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. The Service

2.1 Description

Stack-Ops provides a unified IT operations platform that enables teams to manage assets, tickets, licenses, consumables, contracts, and related workflows in one connected workspace.

2.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes. Stack-Ops is not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

2.3 Beta Features

We may offer beta or preview features for testing. These features are provided "as is" without warranties and may be discontinued at any time. Feedback you provide about beta features may be used to improve the Service without any obligation to you.

3. Accounts and Access

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@stack-ops.io if you suspect unauthorized access to your account.

3.3 Age Requirement

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.

3.4 One Account Per User

Each user may only maintain one active account. You may not share your account credentials with others or create accounts for the purpose of abuse.

4. Subscriptions and Payment

4.1 Subscription Plans

Stack-Ops offers various subscription plans as described on our Pricing page. Features and limits vary by plan. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Free Trial

We offer a 14-day free trial with no credit card required. At the end of the trial period your access to paid features will be suspended. To continue using the Service you must select a plan and provide valid payment details. We will notify you before your trial expires.

4.4 Taxes

Prices shown exclude taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in your jurisdiction.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the period ends.

4.6 Refunds

We do not offer refunds for partial subscription periods, except where required by law. If you believe you were charged in error, contact billing@Stack-Ops.io within 30 days of the charge.

5. Your Content

5.1 Ownership

You retain all ownership rights to any data, files, text, or other content you upload or create within the Service ("Your Content"). These Terms do not grant Stack-Ops any ownership rights in Your Content.

5.2 License to Stack-Ops

You grant Stack-Ops a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service to you.

5.3 Your Responsibilities

You are solely responsible for Your Content and represent that you have all necessary rights to upload it. You must not upload content that is illegal, infringes third-party rights, or violates these Terms.

5.4 Backup

While we take reasonable steps to protect your data, you are responsible for maintaining independent backups of Your Content. Stack-Ops is not liable for any loss of data.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe or misappropriate any intellectual property rights
  • Transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Harvest, scrape, or collect data from the Service without authorization
  • Use the Service for competitive intelligence or to build a competing product
  • Engage in any form of automated abuse, including excessive API calls
  • Resell or sublicense access to the Service without our written consent

Violation of these restrictions may result in immediate termination of your account.

7. Intellectual Property

7.1 Stack-Ops IP

The Service, including its software, design, trademarks, logos, and content (excluding Your Content), is owned by Stack-Ops Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without any obligation to you.

8. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Slack, Jira, cloud providers). These third-party services are governed by their own terms and privacy policies. Stack-Ops is not responsible for the availability, accuracy, or practices of any third-party service. Your use of such integrations is at your own risk.

9. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information (but not less than reasonable care), and not to disclose such information to third parties without prior written consent, except as required by law or as necessary to provide the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Stack-Ops DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Stack-Ops BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF Stack-Ops HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Stack-Ops' TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID Stack-Ops IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Stack-Ops and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, Your Content, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

13.1 By You

You may stop using the Service and cancel your account at any time through your account settings.

13.2 By Stack-Ops

We may suspend or terminate your access to the Service at any time for any reason, including if we believe you have violated these Terms. We will provide reasonable notice where practicable, except in cases of serious violations.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases. We will delete Your Content in accordance with our data retention policies. Sections that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) will remain in effect.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to contact us at legal@stack-ops.io to attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to a jury trial or to participate in a class action lawsuit.

15. General

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stack-Ops regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor in interest.
